ZIPMEX SWAP SERVICES SUPPLEMENT

Supplement A to the ZIPMEX Terms of Service
THIS SUPPLEMENT GOVERNS YOUR USE OF SWAP SERVICES ACCESSIBLE THROUGH THE ZIPMEX INTERFACE. THIS SUPPLEMENT IS INCORPORATED INTO AND FORMS AN INTEGRAL PART OF THE ZIPMEX TERMS OF SERVICE ("MASTER TERMS"). CAPITALIZED TERMS USED BUT NOT DEFINED IN THIS SUPPLEMENT HAVE THE MEANINGS GIVEN TO THEM IN THE MASTER TERMS.
BY ACCESSING OR USING SWAP SERVICES, YOU ACCEPT AND AGREE TO BE BOUND BY THIS SUPPLEMENT IN ADDITION TO THE MASTER TERMS. IN THE EVENT OF ANY CONFLICT BETWEEN THIS SUPPLEMENT AND THE MASTER TERMS, THIS SUPPLEMENT SHALL PREVAIL WITH RESPECT TO SWAP SERVICES.
DEFINITIONS
1.1 "Swap Services" means the features of the Interface that enable Users to interact with third-party decentralized exchange protocols, automated market makers, liquidity pools, token routing services, limit order protocols, dollar-cost averaging services, cross-chain bridges, and related blockchain-based services for the purpose of exchanging one digital asset for another.
1.2 "Swap Protocol" means any independent, third-party decentralized protocol through which Swap Services are facilitated, including but not limited to token swap routing protocols, automated market makers, concentrated liquidity pools, order book protocols, and bridge protocols.
1.3 "Swap Transaction" means any transaction initiated by a User through the Interface to exchange, swap, bridge, or otherwise convert one digital asset into another digital asset through a Swap Protocol.
NATURE OF SWAP SERVICES
2.1 Interface Only
The Interface provides a user interface through which Users may initiate Swap Transactions with independent, third-party Swap Protocols. The Operator does not operate, control, manage, or deploy any Swap Protocol, automated market maker, liquidity pool, order book, or bridge. The Operator's role is limited to providing software that formats and transmits User-initiated transaction instructions to the applicable Swap Protocol's smart contracts on the Solana blockchain and other supported blockchain networks.
2.2 Decentralized Execution
All Swap Transactions are executed directly between the User and the applicable Swap Protocol's smart contracts on public blockchain networks. The Operator does not:
(a) act as a counterparty to any Swap Transaction;
(b) hold, escrow, pool, or custody any digital assets at any point during a Swap Transaction;
(c) execute, settle, clear, confirm, or guarantee any Swap Transaction;
(d) determine or set exchange rates, prices, or fees charged by Swap Protocols;
(e) provide or control liquidity in any pool or market;
(f) match, route, or determine the order of transactions (routing is determined by the Swap Protocol's algorithms); or
(g) have the ability to reverse, cancel, modify, or recover any completed or pending Swap Transaction.
2.3 Third-Party Protocols
Swap Services are powered entirely by independent third-party Swap Protocols. The Interface aggregates and displays information from these Protocols for User convenience. The Operator does not develop, audit, verify, maintain, or endorse any Swap Protocol and makes no representations regarding the security, reliability, accuracy, availability, or legality of any Swap Protocol.
You acknowledge that the Interface is one of potentially many independent interfaces through which Users may access the same underlying Swap Protocols. The Swap Protocols exist independently of the Interface and would continue to operate if the Interface ceased to exist.
2.4 Token Display
The Interface may display tokens, trading pairs, prices, liquidity information, and other data sourced from Swap Protocols and third-party data providers. The display of any token on the Interface does not constitute an endorsement, recommendation, approval, verification, or representation of quality, safety, legality, or value by the Operator. You are solely responsible for conducting your own research and due diligence before interacting with any token.
RESTRICTED TERRITORIES FOR SWAP SERVICES
3.1 Applicable Restrictions
In addition to the general restrictions set forth in Section 3 of the Master Terms, Swap Services are not available to persons who are residents of, citizens of, located in, or accessing the Interface from:
(a) Cuba, Iran, North Korea (Democratic People's Republic of Korea), Syria, the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of Ukraine, Russia, Belarus, Myanmar (Burma); and
(b) any other jurisdiction subject to comprehensive sanctions by OFAC, the European Union, the United Nations Security Council, or His Majesty's Treasury.
3.2 Additional Jurisdictions
The Operator reserves the right to restrict Swap Services in additional jurisdictions at any time without prior notice, including in response to changes in applicable law, sanctions designations, or regulatory guidance.
3.3 Note on Swap Services Availability
Swap Services have the broadest geographic availability of any service offered through the Interface. However, availability does not imply legality. You remain solely responsible for determining whether your use of Swap Services complies with all applicable laws and regulations in your jurisdiction, including but not limited to laws governing digital asset exchanges, money transmission, and financial services.
FEES FOR SWAP SERVICES
4.1 Interface Fees
The Operator may charge an Interface Fee on Swap Transactions executed through the Interface. Interface Fees, if any, are calculated as a percentage of the transaction amount and are displayed to you prior to transaction confirmation. Interface Fees are deducted automatically as part of the transaction and are paid to wallet addresses controlled by the Operator.
4.2 Swap Protocol Fees
In addition to Interface Fees, Swap Protocols charge their own fees, which may include trading fees, liquidity provider fees, routing fees, priority fees, and other protocol-level charges. These fees are determined by the applicable Swap Protocol and are not controlled by the Operator.
4.3 Network Fees
All Swap Transactions incur blockchain network fees (gas fees, priority fees, rent fees) that are paid to network validators. Network fees are determined by network conditions and are not controlled by or paid to the Operator.
4.4 Total Cost
The total cost of a Swap Transaction includes: Interface Fees (if any) + Swap Protocol Fees + Network Fees + Price Impact + Slippage. You should review all fee components displayed in the Interface before confirming any transaction.
SWAP-SPECIFIC RISKS
In addition to the General Risks and Swap Risks described in the Risk Disclosure (Supplement D), you specifically acknowledge the following:
5.1 Slippage
The price at which your Swap Transaction is executed may differ from the price displayed at the time you initiated the transaction. This difference is known as "slippage." Slippage may be caused by price movement between transaction initiation and confirmation, low liquidity, large trade size relative to pool depth, network congestion, or MEV activity. You may configure slippage tolerance settings in the Interface, but these settings do not guarantee execution at any particular price.
5.2 Price Impact
Large Swap Transactions relative to the available liquidity in a pool may cause significant price impact — meaning the effective exchange rate worsens as the transaction size increases. Price impact is displayed in the Interface as an estimate prior to transaction confirmation but may differ from the actual price impact at the time of execution.
5.3 Failed Transactions
Swap Transactions may fail due to slippage exceeding your tolerance, insufficient liquidity, network congestion, smart contract errors, or other reasons. Failed transactions may still incur network fees (gas fees). The Operator is not responsible for failed transactions or associated fees.
5.4 Token Risks
Tokens accessible through the Interface may include tokens with no value, limited liquidity, malicious smart contract code (e.g., honeypot tokens, fee-on-transfer tokens, rebasing tokens), or tokens that are the subject of fraud or market manipulation. The Operator does not verify, audit, or approve any token and makes no representation regarding the safety, legality, or value of any token.
5.5 Impermanent Loss
If you provide liquidity to an automated market maker pool through the Interface, you are exposed to impermanent loss. The value of your deposited assets may decrease relative to simply holding those assets outside the pool. Impermanent loss increases with price divergence between paired assets and may result in permanent, significant financial loss.
5.6 Bridge Risks
If you use cross-chain bridge functionality through the Interface, you assume all risks associated with bridge protocols, including but not limited to: smart contract exploits, validator key compromise, delayed or failed bridging, loss of bridged assets, and assets becoming stranded on destination chains. The Operator does not operate any bridge and is not responsible for bridge failures.
USER REPRESENTATIONS FOR SWAP SERVICES
By accessing or using Swap Services, you represent and warrant, in addition to the representations in Section 4 of the Master Terms, that:
(a) you understand the mechanics of token swapping, automated market makers, and decentralized exchange protocols;
(b) you understand the concepts of slippage, price impact, impermanent loss, and MEV;
(c) you have reviewed and accept the slippage tolerance and other transaction parameters before confirming each Swap Transaction;
(d) you have independently verified the token contract address, token legitimacy, and associated risks for each token you interact with;
(e) you understand that the display of a token on the Interface does not constitute an endorsement or verification; and
(f) your use of Swap Services complies with all applicable laws in your jurisdiction, including any laws relating to digital asset exchanges, money transmission, and financial services.
THIRD-PARTY SWAP PROTOCOL TERMS
Your use of Swap Protocols through the Interface is subject to the applicable terms, conditions, and policies of each Swap Protocol. By using Swap Services, you acknowledge and agree that:
(a) you have reviewed and accept the applicable Swap Protocol's terms of service;
(b) the Operator is not a party to any agreement between you and any Swap Protocol;
(c) the Operator has no obligation to enforce, monitor, or ensure compliance with any Swap Protocol's terms;
(d) the Operator has no liability for any act, omission, error, failure, or decision of any Swap Protocol;
(e) the Operator has no obligation to notify you of changes to any Swap Protocol's terms, fees, functionality, or availability; and
(f) certain Swap Protocols may impose additional restrictions, fees, or obligations on Users that are independent of these Terms.
WALLET SCREENING AND COMPLIANCE
8.1 Sanctions Screening
The Operator screens wallet addresses connected to the Interface against applicable sanctions lists, including the OFAC SDN List, using third-party blockchain analytics services. Wallet addresses identified as sanctioned or associated with prohibited activity may be blocked from accessing Swap Services without prior notice.
8.2 Token Restrictions
The Operator may, in its sole discretion, remove, hide, flag, or restrict access to specific tokens through the Interface based on legal, regulatory, compliance, or safety considerations. Restriction of a token through the Interface does not affect the token's existence on the blockchain or your ability to interact with it through other means.
8.3 Cooperation with Law Enforcement
The Operator may cooperate with law enforcement agencies, regulators, and judicial authorities when required by applicable law, including by providing information about User activity on the Interface.
LIMITATION OF LIABILITY FOR SWAP SERVICES
Without limiting the general limitation of liability set forth in Section 11 of the Master Terms, the Operator Parties shall have no liability for:
(a) losses arising from slippage, price impact, or unfavorable execution prices;
(b) losses arising from failed, delayed, or partially executed Swap Transactions;
(c) losses arising from interaction with malicious, fraudulent, or worthless tokens;
(d) losses arising from bridge exploits, failures, or delays;
(e) losses arising from impermanent loss in liquidity pools;
(f) losses arising from MEV attacks, sandwich attacks, or front-running;
(g) losses arising from oracle manipulation or inaccurate price feeds;
(h) losses arising from changes in Swap Protocol fees, functionality, or availability; or
(i) network fees (gas fees) incurred in connection with failed or successful transactions.
DISPUTE RESOLUTION REMINDER: All disputes arising from or relating to this Supplement are subject to the binding individual arbitration and class action waiver provisions in Section 15 of the Master Terms. By using the services described in this Supplement, you confirm that you have read and agreed to those provisions.
